Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of SchoolKhata, a school management software-as-a-service platform ("Service", "Platform", "we", "us", "our"), accessible at schoolkhata.in and any related mobile or desktop application. By creating an account, logging in, or otherwise using the Service, the school, its administrators, teachers, students, and parents/guardians (each a "User", collectively "you") agree to be bound by these Terms.

1. Definitions

• "School" means the educational institution that has subscribed to the Service and is the primary account holder.
• "Account" means the login credentials issued to a School, its staff, students, or parents/guardians to access the Platform.
• "Content" or "School Data" means all data uploaded, entered, or generated through the Service, including student records, attendance, fee and payment records, marks, study material, and communications.
• "Subscription" means the paid or trial plan under which a School accesses the Service.

2. Eligibility and Account Registration

1. The Service is intended for use by educational institutions and their authorised staff, students, and parents/guardians. A School must provide accurate, current, and complete information while registering.
2. The School is responsible for maintaining the confidentiality of login credentials issued to its administrators and staff, and for all activity that occurs under those accounts.
3. Student and parent/guardian accounts, where enabled, are to be created and managed by the School or its authorised staff. The School is responsible for obtaining any consent required from parents/guardians before creating such accounts or uploading a student's personal data.
4. We may suspend or terminate any Account that we reasonably believe is being used in a manner that violates these Terms or applicable law.

3. Subscription, Fees, and Payments

1. Access to the Service may be offered on a free-trial, subscription, or other paid basis as communicated to the School at the time of sign-up or renewal.
2. Subscription fees, once paid, are non-refundable except where required by law or expressly agreed in writing.
3. Where the Platform facilitates collection of student fees from parents/guardians on behalf of the School (e.g. via UPI or other payment methods), we act only as a technology facilitator. The School remains solely responsible for the accuracy of fee amounts, receipts, refunds, and reconciliation with parents/guardians.
4. We are not a payment aggregator or bank, and do not hold or have access to a User's payment instrument details beyond what is required to process a transaction through a third-party payment gateway.

4. Acceptable Use

Users agree not to:

• Upload or transmit any content that is unlawful, defamatory, obscene, or that infringes the rights of any third party;
• Attempt to gain unauthorised access to the Service, other Schools' data, or the underlying infrastructure;
• Use the Service to send unsolicited bulk messages (spam) via SMS, WhatsApp, or email;
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform, except where permitted by law;
• Use the Service in a manner that could disable, overburden, or impair its functioning for other Schools.

5. School Data and Content Ownership

1. As between the School and us, the School retains all ownership rights in the School Data it uploads to the Platform.
2. The School grants us a limited licence to host, store, process, and display the School Data solely for the purpose of providing and improving the Service.
3. The School is responsible for ensuring it has the necessary rights and, where applicable, parental/guardian consent to upload student and staff personal data to the Platform.
4. Upon termination of a Subscription, the School may request export of its data within a reasonable period, after which such data may be deleted from our active systems in accordance with our data retention practices described in the Privacy Policy.

6. Study Material and User-Generated Content

Teachers and administrators may upload study material, question papers, and other educational content ("Uploaded Content") for access by students of the relevant class/section. The uploader is responsible for ensuring that Uploaded Content does not infringe any third party's copyright or other rights, and we reserve the right to remove any Uploaded Content that we believe, in good faith, violates these Terms or applicable law.

7. Intellectual Property & Copyright Policy

1. Ownership. The Platform — including its software, source code, database structure, user interface and visual design, graphics, icons, workflows, documentation, and the "SchoolKhata" name and logo (collectively, the "Software") — is the exclusive property of SchoolKhata and/or its licensors, and is protected under the Indian Copyright Act, 1957, applicable trademark law, and other intellectual property laws and international treaties. All rights not expressly granted to Users under these Terms are reserved.
2. Limited licence to Users. Subject to an active Subscription and compliance with these Terms, we grant the School a limited, non-exclusive, non-transferable, revocable licence to access and use the Software solely for the School's own internal administrative and educational purposes. This licence does not grant any ownership interest in the Software.
3. Restrictions. Users may not, and may not permit any third party to: (a) copy, reproduce, republish, or create derivative works of the Software; (b) sell, resell, sublicense, rent, lease, or otherwise commercially exploit the Software; (c) reverse-engineer, decompile, or disassemble the Software except to the extent expressly permitted by law; (d) remove, obscure, or alter any copyright, trademark, or other proprietary notices; or (e) use the "SchoolKhata" name, logo, or branding without our prior written consent.
4. School Data and Uploaded Content excluded. This Section does not affect ownership of School Data or Uploaded Content, which remain governed by Sections 5 and 6 above.
5. Third-party components. The Software may incorporate open-source or third-party libraries and components, each of which remains subject to its own applicable licence terms; such components do not form part of the exclusive copyright described in clause 1 above.
6. Reporting infringement. If you believe that any content on the Platform infringes your copyright or other intellectual property rights, please write to support@schoolkhata.in with (a) a description of the copyrighted work, (b) the location of the allegedly infringing material, and (c) your contact details. We will review and, where appropriate, take reasonable corrective action.
7. Enforcement. Any unauthorised copying, distribution, or use of the Software may result in immediate suspension of access and may be pursued through civil and/or criminal remedies available under applicable law.

8. Service Availability and Modifications

1. We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (including hosting or messaging providers), or force majeure events may cause temporary unavailability.
2. We may add, modify, or discontinue features of the Service from time to time, with reasonable notice where a change materially reduces functionality a School relies upon.

9. Third-Party Services

The Service may integrate with third-party providers for functions such as cloud data storage/sync, SMS delivery, WhatsApp messaging, and payment processing. Use of such integrations is subject to the respective third party's own terms and privacy practices, and we are not responsible for the acts or omissions of such third parties.

10. Limitation of Liability

1. To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
2. We shall not be liable for any indirect, incidental, or consequential loss, including loss of data, revenue, or goodwill, arising from the use of, or inability to use, the Service.
3. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the Subscription fees paid by the School in the twelve (12) months preceding the claim.

11. Indemnity

The School agrees to indemnify and hold us harmless from any claim, loss, or damage arising from (a) School Data or Uploaded Content it submits to the Platform, (b) its breach of these Terms, or (c) its failure to obtain necessary consents from parents/guardians or staff.

12. Termination

1. A School may stop using the Service or cancel its Subscription at any time in accordance with the applicable cancellation process communicated to it.
2. We may suspend or terminate access to the Service, with notice where reasonably practicable, for non-payment, breach of these Terms, or suspected misuse.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to applicable law, the courts at Muzaffarpur, Bihar shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to Schools through the Platform or via the registered contact details. Continued use of the Service after such notice constitutes acceptance of the revised Terms.
